UkraineInvest is the national investment promotion office established by the Government of Ukraine to attract and facilitate investment into the country’s economy.
The Office promotes priority investment projects, facilitates partnerships between investors and Ukrainian businesses, provides support to investors throughout the entire investment process, and works to build a positive international investment image for Ukraine.
UkraineInvest works closely with government authorities, international financial institutions, global investors, and private sector representatives, serving as a key institutional bridge between the state, business, and international partners.
The Role
UkraineInvest is seeking an experienced legal professional to lead the Legal, Regulatory
Affairs, and Investment Structuring department.
The Head of Department will be responsible for organizing legal and regulatory support for UkraineInvest’s activities, ensuring practical solutions for investors, and coordinating with government authorities and international partners.
Key Responsibilities
Legal Support for Investors
• Coordinate the provision of legal advice to Ukrainian and international investors regarding the application of Ukrainian legislation, regulatory procedures, and compliance requirements.
• Facilitate the resolution of investor issues through engagement with government authorities and regulators.
Investment Structuring & Transactional Support
• Provide legal support for matters related to the structuring of investment projects and commercial arrangements.
• Facilitate coordination between investors, government authorities, and financial institutions in the preparation and structuring of investment agreements, shareholders’ agreements (SHA), joint venture (JV) agreements, M&A transactions, memoranda of cooperation, and other commercial arrangements.
State Investment Support Instruments
• Provide legal support for the implementation of state support for investment projects, specifically in accordance with the Law of Ukraine “On State Support for Investment Projects with Significant Investments in Ukraine.”
Investment Team Support
• Provide legal and regulatory support to the Investment Advisory Team during the investment attraction process.
• Participate in the preparation of materials for international events, investment presentations, and investor meetings.
Internal Legal Counsel
• Manage the legal operations of UkraineInvest. Conduct legal due diligence and approve draft regulations, contracts, memoranda, etc.
• Identify and mitigate legal risks associated with UkraineInvest’s activities. Represent UkraineInvest in courts and before law enforcement agencies.
Team Management
• Lead and manage the operations of the UkraineInvest legal department.
Requirements
• Advanced degree in Law or International Law.
• Typically 5–10 years of professional experience in investment, civil, regulatory, corporate, or international law.
• Proven experience with investment deals, M&A transactions, shareholders’ agreements, or joint venture (JV) agreements.
• In-depth knowledge of Ukrainian investment, civil, and corporate legislation.
• Experience interacting with government authorities and international investors.
• Fluency in Ukrainian and English.
• Readiness for business travel within Ukraine and abroad.
